Terms & Conditions

Last updated: 12 October 2026

1. About these Terms

1.1 These Terms of Service ("Terms") govern your use of Orb, an AI-powered professional assistant. Orb is provided by Cadensys Ltd, trading as Orb ("Orb", "we", "us"). Cadensys Ltd is a company registered in England and Wales under company number 16171356, with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX.

1.2 The Service covers our website (getorb.ai), our iOS app, our web workspace (app.getorb.ai) and our accounts on WhatsApp and Telegram. By accessing or using the Service, including by visiting our website, creating an account or sending a message to Orb, you agree to these Terms, our Privacy Policy, our Cookie Policy and our Acceptable Use Policy in section 9. If you do not agree, do not use the Service.

1.3 Business use only. Orb is a tool for professionals. By using it, you confirm that you are acting for purposes relating to your trade, business, craft or profession, and not as a consumer. If you use Orb on behalf of an organisation, you confirm that you are authorised to bind that organisation. In that case "you" includes the organisation.

1.4 If your organisation has signed an Order Form or a separate written agreement with us (a "Business Agreement"), that agreement prevails where it conflicts with these Terms. Otherwise, these Terms apply.

1.5 Our website. If you only browse our website without creating an account, sections 1, 9, 11, 12 and 15 apply to you. Content on our website is general information about Orb. It is not advice, and we do not guarantee that it is complete, accurate or up to date. Links to third-party websites are provided for convenience only. We do not control those websites and are not responsible for their content or availability. Our Cookie Policy explains how we use cookies and similar technologies on our website.

3. Eligibility and your account

3.1 You must be at least 18 years old to use the Service.

3.2 You must give us accurate information when you sign up and keep it up to date. You may have one personal account. You may not create a new account if we have suspended or terminated yours, unless we agree.

3.3 Your phone number is your key. On WhatsApp and Telegram, Orb identifies you by your phone number or Telegram account. Anyone who can send messages from that number or account can instruct Orb and see your information. You are responsible for:

  • keeping your phone, messaging accounts and Orb login secure, including by using a device passcode and two-step verification where available
  • all activity carried out through your account or Channels
  • telling us straight away at support@getorb.ai if your phone is lost or stolen, your number changes, or you suspect unauthorised access.

3.4 We may ask you to verify your identity before acting on a request about your account.

4. The Service and messaging channels

4.1 Orb is an AI assistant that helps you manage communications and knowledge work. You can talk to Orb in any Channel, connect it to your tools, and ask it to find information, draft content and take Actions. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service under these Terms.

4.2 Third-party Channels. WhatsApp is operated by Meta and Telegram by Telegram Messenger Inc. They are not operated by Orb. When you use Orb through these Channels:

  • you must also comply with that platform's own terms and policies
  • your messages pass through that platform and are handled under its privacy policy as well as ours
  • end-to-end encryption on WhatsApp protects messages in transit, but Orb must decrypt and process your messages to provide the Service. Telegram bot conversations are not end-to-end encrypted.
  • we are not responsible for any outage, delay, restriction or policy change on that platform.

4.3 Channel availability. A platform may restrict or stop Orb's access, or change its rules in a way that affects the Service. If that happens, we may suspend or withdraw a Channel and offer you another, such as the iOS app or web workspace. Withdrawing a Channel does not entitle you to a refund unless the Service as a whole becomes unavailable.

4.4 Messages from Orb. By using a Channel, you agree that Orb may message you there in response to your requests and with service notices, reminders and briefings you have set up. We will only send you marketing messages on WhatsApp, Telegram or by push notification if you have opted in. You can opt out at any time by replying STOP, changing your settings or contacting us. Your mobile operator's data charges may apply.

4.5 Changes to the Service. We are constantly improving Orb and may add, change or remove features. We will give reasonable notice of changes that materially reduce the Service you have paid for.

5. Connected Accounts

5.1 Your authorisation. When you connect an account, you authorise Orb to access, retrieve, index, store and process data from it, and to take Actions in it within the permissions you grant. That authorisation lasts until you disconnect the account or close your Orb account. Data retrieved from a Connected Account is treated as your Input.

5.2 Your responsibilities. You are responsible for:

  • having the right to connect each account, including your employer's permission where the account belongs to your organisation
  • choosing which permissions to grant and reviewing them from time to time
  • complying with the terms of each Connected Account provider.

Orb does not copy access controls from your Connected Accounts. Content you can see in a Connected Account, Orb can use to help you.

5.3 Disconnecting. You can disconnect an account at any time in the iOS app or web workspace, or by revoking access with the provider. Orb will then stop retrieving new data from that account. Data already indexed, and Memory derived from it, is deleted as described in section 8.

5.4 Google user data. Orb's use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. In particular, data from Gmail, Google Calendar and Google Drive:

  • is used only to provide and improve user-facing features of Orb that you can see and use
  • is not used to develop, improve or train generalised AI or machine-learning models
  • is not sold, or used for advertising
  • is not read by humans unless you give us permission for a specific message or file, it is needed for security or to comply with law, or the data has been aggregated and anonymised for internal operations.

5.5 Third-party services. Connected Account providers and Channel operators are independent third parties. We do not control them and are not responsible for their services, availability or content.

6. Actions on your behalf

6.1 Authority. You authorise Orb to take the Actions you request, and those that reasonably follow from your instructions or settings. Examples include sending or replying to emails, creating or accepting calendar invites, and creating or editing documents. Orb acts as your agent, and Actions are taken in your name. You are bound by them, including any commitments made to third parties.

6.2 Confirmations. Orb may ask you to confirm some Actions before carrying them out. Confirmations and other safeguards reduce mistakes but cannot prevent them. You remain responsible for checking what you confirm.

6.3 Some Actions cannot be undone. A sent email, a declined meeting or a shared file may not be reversible. Orb's records of what it has done may sometimes be incomplete or inaccurate. Check your Connected Accounts if something matters.

6.4 Disclosure to others. When Orb communicates with a third party for you, it may tell them that it is an AI assistant acting on your behalf. You must not instruct Orb to pretend to be a human.

6.5 Purchases. If Orb helps you buy goods or services or book something from a third party:

  • Orb is not a party to that transaction, and is not the buyer, seller, merchant or payment processor
  • the contract is between you and the third-party provider, on that provider's terms
  • you are responsible for the price, taxes, cancellation terms and any dispute with the provider
  • Orb does not store your payment card details.

7. AI Outputs

7.1 Accuracy. Orb uses artificial intelligence, including large language models from third-party providers. Outputs may be inaccurate, incomplete, out of date or inappropriate, even when they sound confident. Outputs are only as good as the Inputs and instructions Orb receives.

7.2 Human review. Check Outputs before you rely on them or share them. Do not use Orb to make decisions, or take Actions without meaningful human review, where doing so would be unlawful, unsafe or have significant effects on individuals. Examples include decisions about hiring, credit, health or legal rights.

7.3 Not professional advice. Orb does not provide legal, financial, tax, investment, medical or other professional advice. Using Orb does not create a fiduciary, advisory, employment or partnership relationship between you and us.

7.4 Ownership of Outputs. As between you and us, you own your Inputs and Outputs. We do not guarantee that Outputs are protected by copyright or are unique to you. Other users may receive similar Outputs.

7.5 Your Inputs. You confirm that you have the rights and permissions needed to provide your Inputs to Orb. This includes any personal data of other people in your emails, files and messages. You also confirm that providing them does not infringe anyone's rights or breach any confidentiality obligation you owe.

8. Your Data, Memory and privacy

8.1 Ownership. You own Your Data. You grant us a limited, non-exclusive licence to host, copy, process and transmit Your Data only as needed to provide, secure and support the Service for you.

8.2 No training. We do not use Your Data to train or fine-tune AI models, whether ours or anyone else's. We require our AI model providers not to train on Your Data either.

8.3 Memory. Orb builds Memory so it can be more useful over time. You can view and edit Memory in the iOS app or web workspace. To delete all Memory and Your Data, delete your account in the Orb workspace or mobile app following these instructions. We will then delete Your Data within 30 days, except where we must keep it to comply with law, resolve disputes or enforce these Terms. Copies in backups are deleted on our normal backup cycle of 30 days.

8.4 Sub-processors. We use third parties to provide the Service, including cloud hosting, AI model providers, and the Channel operators. They process Your Data on our behalf under written terms. Our current list of sub-processors is available here.

8.5 Usage Data. We may use Usage Data to operate, secure and improve the Service. We share it outside Orb only in aggregated or anonymised form.

8.6 Privacy. Our Privacy Policy explains how we handle personal data. Where we process personal data on behalf of an organisation, our Data Processing Addendum applies. You are responsible for having a lawful basis to share other people's personal data with Orb.

8.7 Security. We use appropriate technical and organisational measures to protect Your Data. No system is completely secure, so we cannot guarantee that Your Data will never be accessed without authorisation.

9. Acceptable use

You must not use the Service, or instruct Orb, to:

  1. send spam, bulk or unsolicited messages, or messages that break WhatsApp, Telegram or other platform rules
  2. impersonate anyone, or mislead people into thinking Orb's messages were written by a human where that matters
  3. harass, threaten, defame or discriminate against anyone
  4. access accounts, systems or data you are not authorised to access
  5. process special category personal data, or children's data, unless you have a lawful basis and appropriate safeguards
  6. break any law, including data protection, privacy, export control, sanctions, anti-bribery or consumer protection law
  7. infringe intellectual property or breach confidentiality
  8. copy, reverse engineer, scrape or resell the Service, or use it or its Outputs to build a competing product or train a competing AI model
  9. bypass usage limits or security controls, introduce malware, or overload the Service
  10. share your account, or let anyone else use it.

We may investigate suspected breaches and remove content or restrict your use while we do so.

10. Plans, fees and payment

10.1 Plans. Some features are free and others need a paid subscription. Plan details, prices and usage limits are shown at sign-up and on our pricing page. If you reach a usage limit, Orb may slow down or pause until the next period or until you upgrade.

10.2 Free trials. A free trial converts to a paid subscription at the end of the trial unless you cancel before it ends. We will remind you before the first charge.

10.3 Billing and renewal. Subscriptions are billed in advance and renew automatically for the same period, monthly or annually, until cancelled. You can cancel at any time in your account settings. If you subscribed through Apple, you can also cancel in your Apple ID settings. Cancellation takes effect at the end of the current billing period.

10.4 Refunds. Fees are non-refundable, and there are no refunds or credits for partial periods, except where required by law or stated in these Terms.

10.5 Purchases through Apple. If you subscribe through the iOS app, Apple processes the payment under its own terms, and Apple's refund policies apply. We cannot issue refunds for App Store purchases.

10.6 Price changes. We may change prices with at least 30 days' notice. The change applies from your next renewal. If you do not agree, you can cancel before the renewal date.

10.7 Taxes. Prices exclude VAT and other applicable taxes unless stated otherwise. You are responsible for those taxes.

10.8 Late payment. If a payment fails, we may suspend paid features until it is made.

11. Intellectual property and feedback

11.1 We and our licensors own the Service, including its software, models we build, design, documentation and the Orb name and logos. These Terms do not transfer any of those rights to you, except the licence in section 4.1.

11.2 If you send us feedback or suggestions, we may use them freely without paying you or owing you anything.

11.3 Beta features. We may offer features marked as beta, preview or experimental. They are provided "as is", may be less reliable, and may be changed or withdrawn at any time. Closed-beta features are confidential.

12. Disclaimers, liability and indemnity

12.1 Disclaimer. We provide the Service with reasonable care and skill. Apart from that, and to the extent permitted by law, the Service, Outputs and Actions are provided "as is" and "as available". All other warranties, conditions and terms implied by statute or common law are excluded. We do not promise that the Service will be uninterrupted, error-free or available on any particular Channel.

12.2 What we do not exclude. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

12.3 Excluded losses. Subject to 12.2, we are not liable for loss of profits, revenue, business, goodwill, anticipated savings or data, or for any indirect or consequential loss. We are also not liable for loss caused by:

  • Actions you requested, confirmed or set Orb up to take
  • Outputs you relied on without reasonable review
  • a Channel or Connected Account provider, or a third party you transacted with
  • unauthorised use of your phone, messaging account or Orb account that was not caused by our breach of these Terms.

12.4 Cap. Subject to 12.2, our total liability arising out of or in connection with these Terms is limited to the greater of: (a) the fees you paid us in the 12 months before the event giving rise to the claim; and (b) £100.

12.5 Your indemnity. You will compensate us for reasonable losses and costs, including legal fees, arising from third-party claims caused by your Inputs, your breach of these Terms or the law, or Actions you instructed Orb to take.

13. Suspension, termination and changes to these Terms

13.1 By you. You can stop using Orb and delete your account at any time in the Orb workspace or mobile app. Paid subscriptions run until the end of the current billing period, as set out in section 10.

13.2 By us. We may suspend or terminate your access, with notice where reasonably possible, if:

  • you materially breach these Terms or the Acceptable Use Policy
  • your use creates a security, legal or reputational risk to Orb, other users or third parties
  • a Channel or Connected Account provider requires it
  • we are required to do so by law.

We may also end a free plan, or stop offering the Service, on 30 days' notice. If we end a paid plan for reasons other than your breach, we will refund any prepaid fees for the unused period, except App Store purchases, which follow Apple's policies.

13.3 After termination. Your right to use the Service ends, and Your Data is deleted as described in section 8.3. Before then, you can export what you need. Sections 7.4, 8, 11, 12, 13.3 and 15 survive termination.

13.4 Changes to these Terms. We may update these Terms. We will notify you of material changes at least 30 days before they take effect, through a Channel, by email or in the app. If you continue to use the Service after that date, the updated Terms apply. If you do not agree, you can delete your account before then.

14. Apple App Store

This section applies if you downloaded the Orb iOS app from the Apple App Store.

14.1 These Terms are between you and Orb only, not Apple Inc. ("Apple"). Orb, not Apple, is solely responsible for the app and its content.

14.2 Your licence to use the app is limited to using it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

14.3 Apple has no obligation to provide maintenance or support for the app.

14.4 If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app. As between Orb and Apple, Orb is responsible for any other claims, losses, liabilities, damages, costs or expenses arising from any failure to conform to a warranty.

14.5 Orb, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it. These include product liability claims, claims that the app fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws.

14.6 If a third party claims that the app or your possession or use of it infringes their intellectual property rights, Orb, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.

14.7 You confirm that you are not located in a country subject to a UK, EU, UN or US government embargo, or one designated by the US government as a "terrorist supporting" country. You also confirm that you are not on any UK, EU, UN or US government list of prohibited or restricted parties.

14.8 Questions, complaints or claims about the app should be sent to Orb using the contact details in section 15.

14.9 You must comply with applicable third-party terms when using the app, for example your mobile network operator's terms.

14.10 Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right to enforce them against you as a third-party beneficiary.

15. General

15.1 Governing law and courts. These Terms, and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

15.2 Resolving issues. Before starting proceedings, please contact us at support@getorb.ai and give us 30 days to try to resolve the issue informally. Either party may still seek urgent injunctive relief.

15.3 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. These include outages or policy changes at a Channel, Connected Account or AI model provider.

15.4 Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours to a group company, or to a successor in a merger, acquisition or sale of assets.

15.5 Entire agreement. These Terms, together with the documents they refer to, are the entire agreement between you and us about the Service. They are subject to any Business Agreement under section 1.4.

15.6 Other terms. If any provision is found unenforceable, the rest remain in effect. A failure or delay in enforcing a right is not a waiver. Except as stated in section 14.10, no one other than you and us has rights under these Terms under the Contracts (Rights of Third Parties) Act 1999.

15.7 Notices. We may send you notices through a Channel, by email or in the app. You can contact us at support@getorb.ai or Cadensys Ltd, 128 City Road, London, United Kingdom, EC1V 2NX.
